Arbitration Clause
Any dispute, claim, or controversy arising out of or relating to these Terms and
Conditions or the breach, termination, enforcement, interpretation, or validity thereof,
including the determination of the scope or applicability of this agreement to
arbitrate, shall be determined by arbitration in accordance with the rules of the
American Arbitration Association (AAA). The arbitration shall be conducted in Houston,
Texas, before a single arbitrator. The language of the arbitration shall be English. The
decision of the arbitrator shall be final and binding upon the parties, and judgment
upon the award rendered by the arbitrator may be entered in any court having
jurisdiction thereof.
The prevailing party in any arbitration shall be entitled to recover its reasonable
attorneys' fees and costs from the non-prevailing party. Each party shall bear its own
costs and expenses of arbitration, including but not limited to attorneys' fees, unless
otherwise awarded by the arbitrator.
By agreeing to arbitration, the parties hereby waive their right to bring or participate
in any class action, collective action, or representative action in arbitration or in
any other forum. The parties further waive any right to a trial by jury.
This arbitration clause shall survive termination or expiration of these
Terms and Conditions.
